Cap Table Simulator

Model ownership, simulate rounds, and see dilution.

The Cap Table Simulator models your ownership structure and simulates funding rounds so you can see dilution before you negotiate.

Shareholders

The shareholder table lists each holder with their Name, Round, Shares, and Ownership percentage, with a running total. Use Add to enter another shareholder.

Simulate a funding round

  1. Enter a Round Name.
  2. Enter the Pre-Money Valuation.
  3. Enter the Investment Amount.
  4. Select Simulate Round.

Each simulated round is kept in Round History showing its pre-money, investment, and new shares issued, and an Ownership Distribution chart updates alongside.

AI and export

Select Explain Dilution under AI Dilution Analysis for an AI reading of your cap table, and use Ask Nova for wider advice. You can export with PDF or CSV, and Save keeps your work.

Please note: Simulate the round before you agree terms — seeing the dilution in advance is the whole point of the tool.
